These Terms and Conditions (“Terms”) govern your access to and use of the website www.bbm-motorcycles.com (“website”) and related services (collectively, the “Services”) provided by Barras Brothers Motors Holding S.L. (“BBM,” “we,” “us,” or “our”), a company registered in Spain under Spanish law. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Services.

1. Eligibility

You must be at least 18 years of age to use the Services, including to subscribe to our newsletter. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Newsletter Subscription

The Services allow you to register your interest in BBM electric motorcycles by subscribing to our newsletter. By subscribing, you agree to provide accurate and complete information, such as your email address. Subscribing to the newsletter constitutes explicit consent for data processing, as outlined in the Privacy Policy. You may unsubscribe at any time via the unsubscribe link in the newsletter or by contacting us at info@bbm-motorcycles.com. Your personal data will be handled in accordance with our Privacy Policy, available on our website.

3. User Content

You are responsible for any content you post or upload to the website template. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display the content for the purpose of operating and improving the template.

4. Prohibited Activities

4.1 Ownership of Services. The Services, including their content, design, text, graphics, images, logos, and software, are owned by BBM or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of the Services without BBM’s prior written consent.

4.2 License to Use Services. BBM grants you a personal, non-assignable, non-sub-licensable, non-transferable, and non-exclusive license to access and use the Services for personal, non-commercial purposes, such as browsing the website or subscribing to the newsletter, as permitted by these Terms. You may not modify, decompile, or reverse-engineer any software or content provided by BBM.

4.3 Feedback. Any feedback, comments, or suggestions you provide about the Services (“Feed- back”) is the sole property of BBM. You assign all rights in Feedback to BBM, and BBM may use or disclose Feedback without compensation or notice to you.

4.4 DMCA Policy. If you believe content on the Services infringes your copyright, you may submit a notification to our copyright agent at info@bbm-motorcycles.com in accordance with the Digital Millennium Copyright Act (DMCA), including:

• Identification of the copyrighted work claimed to be infringed;
• Identification of the allegedly infringing material and its location;
• Your contact information;
• A statement of good faith belief that the use is not authorized;
• A statement under penalty of perjury that the information is accurate; and
• Your physical or electronic signature.

5. Prohibited Conduct

You agree not to:
• Use the Services for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to the Services or other users’ accounts;
• Upload or transmit viruses, malware, or other harmful code;
• Use the Services for commercial purposes without BBM’s consent;
• Collect personal information from other users;
• Engage in conduct that is defamatory, obscene, or otherwise objectionable.

6. Third-Party Materials

The Services may include content, data, images, or links to third-party websites or materials (“Third-Party Materials”), including pictures of custom motorcycles built by Angry Lane, a brand created by the Barras brothers, on models from Ducati, Triumph, Yamaha, Kawasaki, Harley-Davidson, and Moto Guzzi. These images are displayed solely to demonstrate the Barras brothers’ expertise in motorcycle customization and do not imply that the motorcycles are BBM products or that BBM or Angry Lane is sponsored, associated, approved, endorsed, or affiliated with Ducati, Triumph, Yamaha, Kawasaki, Harley-Davidson, Moto Guzzi, or their affiliates. These brands own their respective trademarks, both registered and unregistered, including their logos, model names, and distinctive motorcycle designs. Any mention of these brands is for reference only. BBM does not endorse or assume responsibility for the accuracy, legality, or availability of Third-Party Materials. Your use of Third-Party Materials is at your own risk.

7. Disclaimers and Limitations of Liability

7.1 Disclaimers. The Services are provided “as is” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. BBM does not warrant that the Services will be uninterrupted, error-free, or free of viruses or harmful components.

7.2 Limitations of Liability. To the fullest extent permitted by law, BBM and its affiliates, officers, directors, employees, and agents (“BBM Entities”) will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising out of or related to your use of the Services, whether in contract, tort, including negligence or otherwise, even if advised of the possibility of such damages. BBM Entities’ total liability for any claim shall not exceed the amount you paid for the Services, if any.

7.3 Indemnification. You agree to indemnify and hold harmless BBM Entities from any claims, damages, losses, or expenses (including attorneys’ fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

8. Dispute Resolution

8.1 Arbitration. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration in accordance with the JAMS Consumer Minimum Standards, governed by the Federal Arbitration Act. Arbitration will be conducted by a single arbitrator in Madrid, Spain, or via telephone if you reside outside Spain. Judgment on the arbitration award may be entered in any court with jurisdiction.

8.2 Exceptions. Disputes involving small claims, injunctive relief, or intellectual property claims may be resolved in a court of competent jurisdiction, as outlined below.

8.3 Class Action Waiver. You and BBM agree to resolve disputes only on an individual basis and waive the right to participate in or maintain any class, consolidated, or representative action. If this waiver is deemed unenforceable, the arbitration agreement will be void for that proceeding, and the dispute must be brought in a court of competent jurisdiction.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of Spain. For disputes not subject to arbitration, the courts of Madrid, Spain, will have exclusive jurisdiction.

10. Miscellaneous

10.1 Force Majeure. BBM will not be liable for delays or failures to perform due to causes beyond our reasonable control, including but not limited to strikes, natural disasters, or disruptions in utilities or communications.

10.2 Electronic Contracts. Contracts entered into electronically through the Services, such as newsletter subscriptions, are valid and enforceable under applicable law and may be used as evidence in disputes.

10.3 Updates to Terms. BBM may update these Terms from time to time, with the “Last Revised” date updated accordingly. Material changes will be notified via email or a prominent notice on the website. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

10.4 Termination. BBM may suspend or terminate your access to the Services for any reason, including breach of these Terms. Upon termination, all licenses granted to you will cease.
